Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Autoland website, mobile applications and related services (together, the "Platform"). The Platform is operated by Autoland Ltd, a company registered in England and Wales ("Autoland", "we", "us" or "our"). Please read these Terms carefully. By creating an account, listing a vehicle, sending a message, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Acceptance of these Terms

By accessing or using the Platform you confirm that you accept these Terms and that you agree to comply with them. These Terms apply in addition to our Privacy Policy and any other policies, notices or guidelines we publish on the Platform from time to time, all of which form part of your agreement with us. If we make material changes, your continued use of the Platform after the changes take effect will be treated as acceptance of the updated Terms. If you do not agree, your only remedy is to stop using the Platform and, where applicable, close your account.

2. Definitions

In these Terms, the following words have the meanings set out below:

• Buyer means a person who uses the Platform to search for, enquire about or arrange to purchase a vehicle.
• Seller means any person who advertises a vehicle on the Platform, whether a Private Seller or a Dealer.
• Private Seller means an individual selling a vehicle they own in a personal, non-trade capacity.
• Dealer means a business, trader or sole trader selling vehicles in the course of a trade or business.
• Listing means an advertisement for a vehicle published on the Platform, including all text, specifications, pricing, photographs and other media.
• Content means any information, text, images, data, registration details or other material uploaded, submitted or transmitted by a user via the Platform.
• Vehicle Data means information sourced from official records, including the DVLA and DVSA, displayed alongside a Listing.

3. Eligibility

To use the Platform you must be at least 18 years old, be resident in the United Kingdom, and have the legal capacity to enter into a binding contract. Vehicles advertised must be located in the United Kingdom and carry a genuine UK registration. By using the Platform you represent and warrant that you meet these requirements. We may refuse access, or suspend or terminate an account, where we reasonably believe these requirements are not met.

4. Accounts and security

You may need to register an account to access certain features. You agree to provide accurate, current and complete information and to keep it up to date. You are responsible for keeping your login credentials confidential and for all activity that takes place under your account. You must notify us promptly at hello@autoland.co.uk if you suspect any unauthorised use of your account. You must not share, sell or transfer your account, and you must not create an account using another person's identity or details.

5. Private seller rules

Private Sellers may advertise up to three (3) active Listings free of charge. If you wish to advertise more vehicles, or if you are selling in the course of a business, you must register and operate as a Dealer. As a Private Seller you confirm and agree that:

• you own the vehicle, or are otherwise lawfully authorised to sell it;
• the vehicle has a genuine UK registration and is located in the United Kingdom;
• all information in your Listing is accurate, honest and not misleading, including the make, model, age, mileage, condition and price;
• you are selling in a personal capacity and not as a trade or business; and
• you will respond to genuine buyer enquiries in good faith.

Misusing the free Private Seller allowance to disguise trade activity is a breach of these Terms and may result in removal of your Listings and suspension of your account.

6. Dealer rules

Dealers must register for a paid subscription, which starts from £200 per month, before advertising vehicles in the course of a trade or business. As a Dealer you additionally confirm and agree that:

• you are a bona fide motor trader and will provide accurate business details on request;
• you will comply with all applicable laws governing the sale of vehicles to consumers, including the Consumer Rights Act 2015, the Consumer Protection from Unfair Trading Regulations 2008 and applicable distance and off-premises selling rules;
• you will clearly present any vehicle's history, condition and provenance and will not advertise a vehicle you are not authorised to sell;
• you will honour the description, specification and price stated in your Listing; and
• you hold any licences, registrations or insurances required to carry on your business.

Nothing in these Terms relieves a Dealer of its legal obligations to consumers, which exist independently of the Platform.

7. Listing content and prohibited items

All Listings must be truthful, lawful and not misleading. You are solely responsible for the Content you publish. You must not advertise any vehicle, or include any Content, that:

• is, or has been, an insurance write-off (including Category A, B, S or N) without clearly and prominently declaring its status;
• displays a mileage that has been tampered with, "clocked" or otherwise misrepresented;
• is stolen, subject to outstanding finance you have not disclosed, or that you do not have the right to sell;
• contains false, exaggerated or misleading information about the vehicle's condition, history, specification or price;
• infringes the rights of any third party, or is unlawful, defamatory, obscene or offensive; or
• contains contact details or links designed to take transactions or communications off the Platform in order to circumvent these Terms.

We may, at our discretion, remove any Listing that we reasonably believe breaches these rules.

8. Our role — advertising platform only

Autoland is an advertising marketplace only. We provide the technology that allows Sellers to advertise vehicles and Buyers to find them. We are not a party to any sale or agreement made between a Buyer and a Seller, and we are not a broker, an agent, a dealer, a lender or a credit intermediary. We do not own, inspect, store, sell or take possession of any vehicle advertised, and we do not handle, process or hold any payment passing between a Buyer and a Seller.

We give no warranty or guarantee as to the existence, quality, safety, roadworthiness, legality or accuracy of any vehicle or Listing, or as to the honesty, identity or solvency of any user. Any contract for the sale of a vehicle is concluded solely between the Buyer and the Seller. Buyers are strongly advised to inspect any vehicle in person, verify its documentation and history independently, and take appropriate professional advice or checks (including an independent mechanical inspection and a history check) before parting with any money.

9. Vehicle data from DVLA and DVSA

To help users, we display Vehicle Data drawn from official sources such as the DVLA and DVSA, and we verify Listings against those records where we can. This data is provided on an "as is" and "as available" basis. While we take reasonable care, we do not control these sources and cannot guarantee that the information is complete, current or error-free. Vehicle Data is provided for general guidance only and does not replace your own checks. We accept no liability for any inaccuracy, omission or delay in Vehicle Data to the fullest extent permitted by law.

10. Messaging and user conduct

Buyers and Sellers communicate through our in-app messaging. You must use messaging only for genuine, lawful enquiries relating to a Listing. You must not:

• harass, threaten, abuse, defraud or impersonate any other person;
• send spam, bulk messages, unsolicited advertising or chain communications;
• attempt to defraud users or run scams, including fake escrow, "courier delivery" or advance-fee schemes;
• pressure users to complete a transaction off-Platform in order to evade these Terms or to facilitate a scam; or
• request or disclose payment card details or other sensitive financial information through messaging.

We may monitor messaging for safety, fraud-prevention and compliance purposes, and may remove content or restrict accounts that breach these rules. Treat anyone who asks you to pay before viewing a vehicle, or to send money by unusual methods, with extreme caution.

11. Fees, dealer subscriptions and cancellation

Listing up to three active vehicles as a Private Seller is free. Dealer subscriptions start from £200 per month and are billed in advance for each subscription period. All fees are stated exclusive of VAT unless otherwise indicated, and VAT will be added where applicable. By subscribing you authorise us, or our payment provider, to charge the applicable fees for each period until you cancel.

You may cancel a Dealer subscription at any time, with cancellation taking effect at the end of the current paid period. Unless required by law, fees already paid are non-refundable and we do not provide pro-rata refunds for part-periods. We may change our fees on reasonable prior notice; changes will apply from your next renewal. If a payment fails, we may suspend your Listings until the amount due is paid.

12. Intellectual property and licence to your content

The Platform, including its design, software, text, graphics and trade marks, is owned by or licensed to Autoland and is protected by intellectual property laws. You may not copy, reproduce, scrape, frame or exploit any part of the Platform except as expressly permitted by these Terms.

You retain ownership of the Content you upload, including your photographs. By submitting Content you grant Autoland a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, adapt, publish and display that Content for the purposes of operating, promoting and improving the Platform and your Listing. You confirm that you own or are authorised to grant this licence and that your Content does not infringe any third party's rights. This licence ends when the relevant Content is removed, except where we must retain copies to comply with our legal obligations or to resolve disputes.

13. Removal, suspension and termination

We may, at our reasonable discretion and with or without notice, edit or remove any Listing or Content, restrict features, or suspend or terminate any account, where we believe a user has breached these Terms, where we are required to do so by law, or where it is necessary to protect the Platform or other users. We may also remove Listings that are inactive, duplicated or no longer available. You may close your own account at any time. Termination does not affect any rights or liabilities that have already accrued.

14. Disclaimers and limitation of liability

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties, conditions and representations not expressly set out in these Terms, including any implied warranties as to accuracy, fitness for a particular purpose or uninterrupted availability.

Because we are an advertising platform only, we are not responsible for the acts or omissions of Buyers or Sellers, the condition, quality, legality or safety of any vehicle, the accuracy of any Listing, or the completion of any sale. To the fullest extent permitted by law, we will not be liable for any indirect or consequential loss, or for any loss of profit, business, goodwill, data or opportunity, arising from your use of the Platform or any dealing between users.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. Subject to that, our total liability to you arising out of or in connection with the Platform shall not exceed the greater of the fees you paid to us in the twelve months before the claim or £100.

15. Indemnity

You agree to indemnify and hold harmless Autoland, its officers, employees and agents against all claims, liabilities, losses, damages and reasonable costs (including legal fees) arising out of or in connection with your breach of these Terms, your Content or Listings, any vehicle you advertise or sell, or your dealings with another user. This clause does not apply to the extent any claim arises from our own negligence or wrongful act.

16. Your consumer rights

Nothing in these Terms affects your statutory rights as a consumer. In particular, where you buy a vehicle from a Dealer or other trader, you have rights under the Consumer Rights Act 2015 (including that the vehicle should be of satisfactory quality, fit for purpose and as described) which apply against that trader and which these Terms do not, and cannot, limit or remove. As Autoland is not a party to the sale, these statutory rights are exercised against the Seller. Where you buy from a Private Seller, different rules apply and we encourage you to understand your position before purchasing.

17. Changes to these Terms

We may update these Terms from time to time to reflect changes to the Platform, our business, or legal and regulatory requirements. The "Last updated" date at the top of this page shows when the Terms were last revised. Where changes are material, we will take reasonable steps to bring them to your attention. Your continued use of the Platform after the updated Terms take effect constitutes acceptance of them.

18. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the law of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, save that if you are a consumer resident elsewhere in the United Kingdom you may also be entitled to bring proceedings in the courts of the part of the UK in which you live.
